Terms of Service

Welcome to Spectatr AI.These Terms of Service (“Terms”)govern your access to and use of the Spectatr AI platform, including ourwebsite, dashboard, APIs, and all related services (collectively, the“Service”). By accessing or using Spectatr AI, you agree to be bound by these Terms.If you do not agree, you must not use the Service.
1. Description of Service
Spectatr AI is a sports technology platform that enables sports organizations, teams, creators, and media operators to manage, process, and distribute video content. The platform receives live sports streams from clients, processes those streams to identify key moments, and automatically generates highlight clips and compilations. These highlights are listed on the Spectatr AI web application, where users can review, manage, and share them.
Spectatr AI also provides a built-in social media distribution feature that allows users to publish highlight clips and compilations directly from the platform to their connected social media accounts on the following supported platforms: YouTube, Facebook, Instagram, TikTok, and X (formerly Twitter).
The Service acts solely as a tool for content processing and distribution on behalf of users. Spectatr AI does not independently publish, broadcast, or license user content.
2. Eligibility
You must be at least 18 years ofage (or the age of legal majority in your jurisdiction) to use the Service. Byusing Spectatr AI, you represent and warrant that you meet this requirement. Ifyou are using the Service on behalf of an organization, you represent that youhave the authority to bind that organization to these Terms.
3. User Accounts
To access certain features of the Service, you may be required to create an account. You agree to:
(a) Provide accurate, current, and complete information during registration;
(b) Maintain and promptly update your account information;
(c) Maintain the confidentiality and security of your account credentials;
(d) Accept responsibility for all activities that occur under your account.
You must notify Spectatr AI immediately at socials@spectatr.ai if you become aware of any unauthorized access to or use of your account. Spectatr AI is not liable for any loss or damage arising from your failure to secure your account credentials.
4. Third-Party Platform Integrations
Spectatr AI allows you toconnect third-party social media accounts, including but not limited toYouTube, Facebook, Instagram, TikTok, and X. By connecting a third-partyaccount, you authorize Spectatr AI to:
• Access your account data to the extent necessary tofacilitate content publishing;
• Upload, publish, or schedule content on your behalf toconnected platforms;
• Manage video or media assets within the scope ofpermissions you have granted.
Spectatr AI does not store yourthird-party platform passwords. Authentication is handled through secure OAuthor equivalent token-based mechanisms provided by each third-party platform.
Your use of third-partyplatforms remains subject to the terms of service, community guidelines, andpolicies of each respective platform. Spectatr AI is not responsible for anyactions taken by third-party platforms, including but not limited to contentremoval, account suspension, or policy enforcement by those platforms.
4.1 API Compliance
Spectatr AI accesses third-partyplatforms through their official APIs and complies with applicable API terms,including the YouTube API Terms of Service (which incorporate Google’s Terms ofService and Privacy Policy), the Meta Platform Terms, the TikTok for DevelopersTerms, and the X Developer Agreement. By using the Service to connect to theseplatforms, you also agree to be bound by the applicable terms of thoseplatforms.
5. Content Ownership and License
5.1 Your Content
You retain full ownership of allcontent you upload to or manage through Spectatr AI, including raw videostreams, highlight clips, and compilations (“User Content”).
5.2 License to Spectatr AI
By using the Service, you grantSpectatr AI a limited, non-exclusive, royalty-free, worldwide license toprocess, store, transcode, transmit, and distribute your User Content solelyfor the following purposes:
• Receiving and processing your sports streams togenerate highlight clips and compilations;
• Listing and displaying highlights within the SpectatrAI web application for your review and management;
• Publishing content to your connected social mediaaccounts at your direction;
• Maintaining backups and ensuring platform reliability.
This license terminates when youdelete your content or close your account, subject to reasonable backupretention periods and any content already distributed to third-party platforms.
5.3 No Use for AI Training or Other Purposes
Spectatr AI does not use yourUser Content for machine learning model training, advertising, resale,sublicensing to third parties, or any purpose other than providing andoperating the Service as described in these Terms.
5.4 AI-Generated Outputs
Highlight clips, compilations,and other outputs generated by Spectatr AI’s automated processing tools(“AI-Generated Outputs”) are derived from your User Content and are owned byyou. Some third-party platforms may require labeling or disclosure of AI-generatedor AI-assisted content. You are responsible for complying with any suchplatform-specific requirements when publishing AI-Generated Outputs.
5.5 Your Representations
You represent and warrant thatyou have all necessary rights, licenses, and permissions to upload, process,and distribute any content through the platform, and that your content does notinfringe or violate any third-party rights.
6. Acceptable Use
You agree not to:
• Upload, transmit, or distribute content that isunlawful, defamatory, obscene, abusive, or otherwise objectionable;
• Infringe or violate the intellectual property rights,privacy rights, or other rights of any third party;
• Use the platform to distribute spam, malware, or othermalicious software;
• Attempt to gain unauthorized access to any systems,networks, or data associated with Spectatr AI;
• Reverse-engineer, decompile, or otherwise attempt toextract the source code of the Service;
• Use the Service in any manner that could damage,disable, overburden, or impair Spectatr AI’s infrastructure;
• Circumvent or manipulate any security, rate-limiting,or access-control features of the Service.
Spectatr AI reserves the right to investigate suspected violations andto suspend or terminate accounts that violatethese Terms, with or without prior notice.
7. Copyright Infringement and DMCA Policy
Spectatr AI respectsintellectual property rights and complies with the Digital Millennium CopyrightAct (DMCA). If you believe that content available through the Service infringesyour copyright, you may submit a written notice to our designated agent containing:
(a) A physical or electronic signature of the copyrightowner or authorized representative;(b) Identification of the copyrighted work claimed to havebeen infringed;
(c) Identification of the material that is claimed to beinfringing and its location on the Service;(d) Your contact information (address, telephone number,and email);
(e) A statement that you have a good-faith belief that theuse is not authorized by the copyright owner, its agent, or the law;
(f) A statement, under penalty of perjury, that theinformation in the notice is accurate and that you are the copyright owner orauthorized to act on behalf of the owner.

Spectatr AI may remove ordisable access to allegedly infringing content and may terminate accounts ofrepeat infringers in appropriate circumstances.
8. Data and Privacy
Our collection and use ofpersonal information is described in our Privacy Policy, available at https://www.spectatr.ai/privacy-policy.By using the Service, you agree to the collection and use of information asdescribed therein.
To the extent Spectatr AIaccesses data through third-party APIs (including the YouTube API Services), wealso comply with the privacy policies of those platforms, including the GooglePrivacy Policy.
9. Service Availability and Disclaimers
Spectatr AI strives to maintainreliable service but does not guarantee uninterrupted, error-free, or secureoperation. We may modify, suspend, or discontinue features or the entireService at any time, with or without notice.
Without limiting the generalityof the above, Spectatr AI does not guarantee that:
• Highlight generation or automated clipping will captureall key moments or produce outputs of a specific quality;
• Content published to third-party platforms will besuccessfully delivered, remain available, or comply with those platforms’ever-changing policies;
• The Service will be free from interruptions, delays, ortechnical errors.
THE SERVICE IS PROVIDED “AS IS”AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECTATR AIDISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OFMERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTEDBY APPLICABLE LAW, SPECTATR AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS,AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OFPROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TOYOUR USE OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL SPECTATR AI’STOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO SPECTATR AI IN THETWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDREDU.S. DOLLARS (USD $100), WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend,and hold harmless Spectatr AI, its affiliates, officers, directors, employees,and agents from and against any claims, liabilities, damages, losses, costs,and expenses (including reasonable attorneys’ fees) arising out of or relatedto:
• Your use of the Service;
• Your User Content, including any claims that yourcontent infringes the intellectual property or other rights of a third party;
• Your violation of these Terms or any applicable law orregulation;
• Content distributed through the Service to third-partyplatforms at your direction.
12. Termination
12.1 By Spectatr AI
Spectatr AI reserves the rightto suspend or terminate your account and access to the Service, with or withoutnotice, if you violate these Terms, misuse the platform, or if we are requiredto do so by law.
12.2 By You
You may stop using the Serviceand request account deletion at any time by contacting socials@spectatr.ai.
12.3 Effect of Termination
Upon termination or accountdeletion:
• Spectatr AI will revoke all OAuth tokens and disconnectyour linked social media accounts;
• Your User Content stored on the platform will bedeleted within thirty (30) days, except as required for legal compliance or aspart of routine backup cycles;
• Any content already published to third-party platformsprior to termination will remain on those platforms and is subject to theirrespective terms;
• Sections 5 (Content Ownership — to the extent contentwas already distributed), 10 (Limitation of Liability), 11 (Indemnification),13 (Dispute Resolution), and 14 (Governing Law) shall survive termination.
13. Dispute Resolution
Any dispute, claim, orcontroversy arising out of or relating to these Terms or the Service shallfirst be attempted to be resolved through good-faith negotiation between theparties for a period of thirty (30) days. If the dispute cannot be resolved throughnegotiation, it shall be submitted to binding arbitration administered underthe rules of the American Arbitration Association (AAA), with arbitrationconducted in [Your City, State]. Judgment on the arbitration award may beentered in any court of competent jurisdiction.
YOU AND SPECTATR AI AGREE THATEACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITYAND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVEPROCEEDING.
Note:You should insert your preferredarbitration venue and consider whether this clause is appropriate for your userbase and jurisdictions served. Consult legal counsel for jurisdiction-specificrequirements.
14. Governing Law
These Terms shall be governed byand construed in accordance with the laws of [State/Jurisdiction], withoutregard to its conflict-of-law principles.

15. Changes to Terms
Spectatr AI may update theseTerms from time to time. When we make material changes, we will notify users byposting the updated Terms on our website with a revised effective date and,where practicable, by sending notice to the email address associated with youraccount. Your continued use of the Service after the updated Terms becomeeffective constitutes your acceptance of the changes. If you do not agree tothe updated Terms, you must stop using the Service.
16. Miscellaneous
• Entire Agreement. These Terms, together with thePrivacy Policy, constitute the entire agreement between you and Spectatr AIwith respect to the Service.
• Severability. If any provision of these Terms isfound to be unenforceable, the remaining provisions shall continue in fullforce and effect.
• Waiver. Spectatr AI’s failure to enforce anyprovision of these Terms shall not constitute a waiver of that provision.
• Assignment. You may not assign or transfer yourrights under these Terms without Spectatr AI’s prior written consent. SpectatrAI may assign its rights and obligations without restriction.
• Force Majeure. Spectatr AI shall not be liablefor any failure or delay in performance resulting from causes beyond itsreasonable control, including natural disasters, acts of government, internetoutages, or third-party platform outages.
