Terms of Service
These Terms govern your access to and use of the Spectatr AI platform, including our website, dashboard, APIs, and all related services. By using Spectatr AI, you agree to be bound by these Terms.

1. Description of Service
Spectatr AI is a sports technology platform that enables sports organisations, teams, creators, and media operators to manage, process, and distribute video content. The platform receives live sports streams from clients, processes those streams to identify key moments, and automatically generates highlight clips and compilations. These highlights are listed on the Spectatr AI web application, where users can review, manage, and share them.
Spectatr AI also provides a built-in social media distribution feature that allows users to publish highlight clips and compilations directly from the platform to their connected social media accounts on the following supported platforms: YouTube, Facebook, Instagram, TikTok, and X (formerly Twitter).
The Service acts solely as a tool for content processing and distribution on behalf of users. Spectatr AI does not independently publish, broadcast, or license user content.
2. Eligibility
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Service. By using Spectatr AI, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
3. User Accounts
To access certain features of the Service, you may be required to create an account. You agree to:
- (a) Provide accurate, current, and complete information during registration;
- (b) Maintain and promptly update your account information;
- (c) Maintain the confidentiality and security of your account credentials;
- (d) Accept responsibility for all activities that occur under your account.
You must notify Spectatr AI immediately at socials@spectatr.ai if you become aware of any unauthorised access to or use of your account. Spectatr AI is not liable for any loss or damage arising from your failure to secure your account credentials.
4. Third-Party Platform Integrations
Spectatr AI allows you to connect third-party social media accounts, including but not limited to YouTube, Facebook, Instagram, TikTok, and X. By connecting a third-party account, you authorise Spectatr AI to:
- Access your account data to the extent necessary to facilitate content publishing;
- Upload, publish, or schedule content on your behalf to connected platforms;
- Manage video or media assets within the scope of permissions you have granted.
Spectatr AI does not store your third-party platform passwords. Authentication is handled through secure OAuth or equivalent token-based mechanisms provided by each third-party platform.
Your use of third-party platforms remains subject to the terms of service, community guidelines, and policies of each respective platform. Spectatr AI is not responsible for any actions taken by third-party platforms, including but not limited to content removal, account suspension, or policy enforcement by those platforms.
4.1 API Compliance
Spectatr AI accesses third-party platforms through their official APIs and complies with applicable API terms, including the YouTube API Terms of Service (which incorporate Google's Terms of Service and Privacy Policy), the Meta Platform Terms, the TikTok for Developers Terms, and the X Developer Agreement. By using the Service to connect to these platforms, you also agree to be bound by the applicable terms of those platforms.
5. Content Ownership and License
5.1 Your Content
You retain full ownership of all content you upload to or manage through Spectatr AI, including raw video streams, highlight clips, and compilations ("User Content").
5.2 License to Spectatr AI
By using the Service, you grant Spectatr AI a limited, non-exclusive, royalty-free, worldwide license to process, store, transcode, transmit, and distribute your User Content solely for the following purposes:
- Receiving and processing your sports streams to generate highlight clips and compilations;
- Listing and displaying highlights within the Spectatr AI web application for your review and management;
- Publishing content to your connected social media accounts at your direction;
- Maintaining backups and ensuring platform reliability.
5.3 No Use for AI Training or Other Purposes
Spectatr AI does not use your User Content for machine learning model training, advertising, resale, sublicensing to third parties, or any purpose other than providing and operating the Service as described in these Terms.
5.4 AI-Generated Outputs
Highlight clips, compilations, and other outputs generated by Spectatr AI's automated processing tools ("AI-Generated Outputs") are derived from your User Content and are owned by you. Some third-party platforms may require labelling or disclosure of AI-generated or AI-assisted content. You are responsible for complying with any such platform-specific requirements when publishing AI-Generated Outputs.
5.5 Your Representations
You represent and warrant that you have all necessary rights, licences, and permissions to upload, process, and distribute any content through the platform, and that your content does not infringe or violate any third-party rights.
6. Acceptable Use
You agree not to:
- Upload, transmit, or distribute content that is unlawful, defamatory, obscene, abusive, or otherwise objectionable;
- Infringe or violate the intellectual property rights, privacy rights, or other rights of any third party;
- Use the platform to distribute spam, malware, or other malicious software;
- Attempt to gain unauthorised access to any systems, networks, or data associated with Spectatr AI;
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service;
- Use the Service in any manner that could damage, disable, overburden, or impair Spectatr AI's infrastructure;
- Circumvent or manipulate any security, rate-limiting, or access-control features of the Service.
Spectatr AI reserves the right to investigate suspected violations and to suspend or terminate accounts that violate these Terms, with or without prior notice.
7. Copyright Infringement and DMCA Policy
Spectatr AI respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content available through the Service infringes your copyright, you may submit a written notice to our designated agent containing:
- (a) A physical or electronic signature of the copyright owner or authorised representative;
- (b) Identification of the copyrighted work claimed to have been infringed;
- (c) Identification of the material that is claimed to be infringing and its location on the Service;
- (d) Your contact information (address, telephone number, and email);
- (e) A statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law;
- (f) A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorised to act on behalf of the owner.

Spectatr AI may remove or disable access to allegedly infringing content and may terminate accounts of repeat infringers in appropriate circumstances.
8. Data and Privacy
Our collection and use of personal information is described in our Privacy Policy, available at https://www.spectatr.ai/privacy-policy. By using the Service, you agree to the collection and use of information as described therein.
To the extent Spectatr AI accesses data through third-party APIs (including the YouTube API Services), we also comply with the privacy policies of those platforms, including the Google Privacy Policy.
9. Service Availability and Disclaimers
Spectatr AI strives to maintain reliable service but does not guarantee uninterrupted, error-free, or secure operation. We may modify, suspend, or discontinue features or the entire Service at any time, with or without notice.
Without limiting the generality of the above, Spectatr AI does not guarantee that:
- Highlight generation or automated clipping will capture all key moments or produce outputs of a specific quality;
- Content published to third-party platforms will be successfully delivered, remain available, or comply with those platforms' ever-changing policies;
- The Service will be free from interruptions, delays, or technical errors.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECTATR AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPECTATR AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL SPECTATR AI'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO SPECTATR AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless Spectatr AI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service;
- Your User Content, including any claims that your content infringes the intellectual property or other rights of a third party;
- Your violation of these Terms or any applicable law or regulation;
- Content distributed through the Service to third-party platforms at your direction.
12. Termination
12.1 By Spectatr AI
Spectatr AI reserves the right to suspend or terminate your account and access to the Service, with or without notice, if you violate these Terms, misuse the platform, or if we are required to do so by law.
12.2 By You
You may stop using the Service and request account deletion at any time by contacting socials@spectatr.ai.
12.3 Effect of Termination
Upon termination or account deletion:
- Spectatr AI will revoke all OAuth tokens and disconnect your linked social media accounts;
- Your User Content stored on the platform will be deleted within thirty (30) days, except as required for legal compliance or as part of routine backup cycles;
- Any content already published to third-party platforms prior to termination will remain on those platforms and is subject to their respective terms;
- Sections 5 (Content Ownership — to the extent content was already distributed), 10 (Limitation of Liability), 11 (Indemnification), 13 (Dispute Resolution), and 14 (Governing Law) shall survive termination.
13. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered under the rules of the American Arbitration Association (AAA). Judgment on the arbitration award may be entered in any court of competent jurisdiction.
YOU AND SPECTATR AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles.
15. Changes to Terms
Spectatr AI may update these Terms from time to time. When we make material changes, we will notify users by posting the updated Terms on our website with a revised effective date and, where practicable, by sending notice to the email address associated with your account. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
16. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Spectatr AI with respect to the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Spectatr AI's failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
- Assignment: You may not assign or transfer your rights under these Terms without Spectatr AI's prior written consent. Spectatr AI may assign its rights and obligations without restriction.
- Force Majeure: Spectatr AI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, internet outages, or third-party platform outages.
